Terms of Service

1. Agreement to Terms

By accessing or using FlowAnchor (the "Service"), including our website at https://flowanchor.app, web application at https://web.flowanchor.app, and any future mobile applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and FlowAnchor ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

2. Description of Service

FlowAnchor is a focus and productivity application that helps users:

  • Create, prioritize, and manage tasks
  • Break down complex tasks with AI assistance
  • Schedule focus time blocks integrated with Google Calendar
  • Conduct focused work sessions using Pomodoro techniques
  • Manage morning routines and break schedules
  • Customize productivity settings and preferences
  • Access other productivity features as they become available

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Eligibility

Eligibility

You must be at least 13 years of age to use FlowAnchor. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate and current.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

You may not:

  • Share your account credentials with others
  • Create multiple accounts for yourself
  • Create accounts using automated means or false information
  • Use another person's account without permission

4. User Content and Data

Your Content

You retain all ownership rights to the content you create, upload, or store in FlowAnchor, including tasks, notes, schedules, and other productivity data ("User Content").

By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.

Content Standards

You agree not to use FlowAnchor to create, store, or share content that:

  • Is illegal, harmful, threatening, abusive, harassing, or otherwise objectionable
  • Infringes on intellectual property rights or other proprietary rights
  • Contains viruses, malware, or other harmful code
  • Violates any applicable laws or regulations
  • Impersonates any person or entity or misrepresents your affiliation

Google Calendar Data

When you connect your Google Account, we access your Google Calendar data as described in our Privacy Policy. Your use of Google services through FlowAnchor is also subject to Google's Terms of Service and Privacy Policy.

5. Acceptable Use Policy

You agree to use FlowAnchor only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or connected systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without our written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, circumvent, or disable any security features or access restrictions
  • Use the Service to transmit spam, phishing attempts, or unsolicited communications
  • Harvest or collect information about other users without their consent
  • Resell, rent, lease, or otherwise commercialize the Service without authorization
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure

6. Intellectual Property Rights

Our Property

FlowAnchor, including all software, designs, text, graphics, logos, code, and other materials (excluding User Content), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes only. This license does not grant you any ownership rights to the Service.

Trademarks

"FlowAnchor" and related logos, names, and designs are our trademarks. You may not use our trademarks without our prior written consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

7. AI-Powered Features

FlowAnchor may use artificial intelligence and machine learning technologies to provide features such as task breakdown, recommendations, and productivity insights.

AI-generated content and suggestions:

  • Are provided for informational and productivity purposes only
  • May not always be accurate, complete, or suitable for your specific needs
  • Should be reviewed and verified by you before relying on them
  • Do not constitute professional advice of any kind

You acknowledge that AI features are continuously improving and may produce varying results.

8. Third-Party Services and Integrations

Google Services

FlowAnchor integrates with Google Calendar and other Google services. Your use of Google services is subject to Google's terms and policies. We are not responsible for Google's services or any changes, interruptions, or termination of those services.

Other Third Parties

The Service may contain links to third-party websites, services, or resources. We are not responsible for:

  • The availability, content, or practices of third-party services
  • Any transactions between you and third parties
  • The privacy or security practices of third parties

Your interactions with third parties are solely between you and the third party.

9. Subscription and Payment Terms

Free and Paid Services

FlowAnchor may offer both free and paid subscription plans. Specific features, limitations, and pricing will be clearly disclosed at the time of subscription.

Billing

  • Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.)
  • You authorize us to charge your payment method for all fees incurred
  • All fees are non-refundable except as required by law or as explicitly stated in our refund policy
  • We may change our fees with reasonable notice, and changes will apply to subsequent billing periods

Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

Free Trials

If we offer a free trial, you may be charged when the trial ends unless you cancel before the trial period expires. Free trial eligibility is at our discretion.

10. Cancellation and Termination

Your Rights

You may:

  • Stop using the Service at any time
  • Cancel your subscription through your account settings
  • Delete your account, which will result in deletion of your data as described in our Privacy Policy

Our Rights

We reserve the right to:

  • Suspend or terminate your access to the Service at any time for any reason, including violation of these Terms

  • Remove or disable any User Content that violates these Terms

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and User Content in accordance with our Privacy Policy
  • You remain responsible for any fees incurred before termination
  • Sections of these Terms that by their nature should survive termination will continue to apply

11. Disclaimers and Limitations of Liability

Service Provided "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OR VIRUS-FREE OPERATION

We do not guarantee that:

  • The Service will meet your specific requirements or expectations
  • The Service will be available at all times or without interruptions
  • Any errors or defects will be corrected
  • Your data will never be lost (though we implement backup procedures)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Business interruption
  • Loss of productivity or time
  • Personal injury or property damage

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless FlowAnchor, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

13. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Informal Resolution

Before filing any formal dispute, you agree to first contact us at hello@flowanchor.app to attempt to resolve the issue informally. We will attempt to resolve the dispute informally by contacting you via email.

Arbitration Agreement

If we cannot resolve the dispute informally, you and FlowAnchor agree that any dispute arising out of or related to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that:

  • You may assert claims in small claims court if your claims qualify
  • Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights

Class Action Waiver

YOU AND FLOWANCHOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Procedures

Arbitration will be conducted by [arbitration organization] under its rules. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14. Export Controls and Sanctions

You agree to comply with all applicable export control laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
  • Listed on any U.S. government list of prohibited or restricted parties

15. Mobile Application Terms

License to Mobile Apps

When we release mobile applications, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use our mobile applications on devices you own or control, solely for your personal or internal business use.

App Store Terms

Your use of our mobile applications may also be subject to the terms and conditions of the app store from which you downloaded the application (Apple App Store, Google Play Store, etc.).

Updates

We may release updates, patches, or new versions of the mobile application. You may need to update the application to continue using it. Some updates may be automatic depending on your device settings.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowAnchor regarding the Service and supersede all prior agreements.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and FlowAnchor.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or government actions.

Notices

We may provide notices to you via email, through the Service, or by posting on our website. Notices to us should be sent to hello@flowanchor.app.

Language

These Terms are written in English. Any translated versions are provided for convenience only. In the event of any conflict, the English version shall prevail.

Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
